Welcome to NOVANEST. These Terms and Conditions (“Terms”) govern your access to and use of novanest-tech.com (the “Website”) and any purchases made through the Website.

The Website is operated by Initiative Technology Co., Ltd, doing business as NOVANEST (“NOVANEST,” “we,” “us,” or “our”).

By accessing the Website, creating an account, or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, and Return & Refund Policy. If you do not agree, please do not use the Website.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to place an order through the Website.

By using the Website, you represent that the information you provide is accurate, current, and complete and that you are legally authorized to use the payment method submitted with your order.

2. Products and Availability

We make reasonable efforts to display accurate product descriptions, specifications, images, prices, availability, and compatibility information.

Product images are provided for reference. Packaging, accessories, labels, colors, specifications, and other details may vary due to manufacturer updates or differences in production batches.

All products are subject to availability. Adding an item to your cart or receiving an order confirmation does not guarantee that the item is available or that the order has been accepted.

We reserve the right to:

  • Correct errors or omissions in product information;

  • Update prices or product specifications;

  • Limit the quantity available for purchase;

  • Discontinue products without notice; and

  • Cancel orders affected by inventory shortages, listing errors, pricing errors, or other material inaccuracies.

If we cancel an order after payment has been collected, we will issue a refund to the original payment method.

3. Pricing and Promotions

All prices are displayed in U.S. dollars unless otherwise stated.

Prices, discounts, promotional offers, and coupon codes may change at any time before an order is placed. Promotional codes:

  • Must be used before expiration;

  • May be limited to specific products or customers;

  • May not be combined unless expressly stated;

  • Have no cash value; and

  • May be canceled if obtained or used through fraud, abuse, technical errors, or unauthorized distribution.

Unless otherwise stated, applicable taxes are calculated during checkout based on the shipping address and applicable law.

4. Orders and Order Acceptance

Your submission of an order constitutes an offer to purchase the selected products. An automated order confirmation only confirms that we received your order and does not constitute final acceptance.

We may accept, reject, place on hold, or cancel an order for reasons including:

  • Product unavailability;

  • Incorrect pricing or product information;

  • Payment authorization failure;

  • Suspected fraud or unauthorized activity;

  • Inconsistent billing, shipping, identity, or contact information;

  • Use of a freight-forwarding or export address;

  • Unusually large or repeated orders;

  • Violation of these Terms; or

  • Restrictions imposed by the manufacturer, payment provider, carrier, or applicable law.

For fraud prevention, we may contact you to confirm your identity, order details, payment authorization, telephone number, or shipping address. If requested information is not provided within a reasonable period, we may cancel the order.

We reserve the right to limit quantities or require separate approval for wholesale, resale, export, or other commercial orders.

5. Payment

Payment must be made using a payment method accepted at checkout. You authorize us and our payment service providers to charge the total amount displayed at checkout, including applicable taxes.

You represent that:

  • You are authorized to use the submitted payment method;

  • The payment and billing information is accurate; and

  • The transaction does not violate applicable law.

A pending charge or authorization may appear before an order is accepted. The timing for releasing a canceled authorization is determined by your bank or card issuer.

We are not responsible for delays caused by banks, payment processors, card networks, or incorrect payment information.

6. Shipping Area

NOVANEST currently ships only to eligible addresses within the contiguous United States.

We do not currently ship directly to Alaska, Hawaii, Puerto Rico, other U.S. territories, or destinations outside the United States.

Some address types, including P.O. boxes, military addresses, remote locations, freight forwarders, reshipping facilities, or commercial export warehouses, may not be eligible for delivery.

We may cancel an order if the shipping address is outside our service area or cannot be serviced by the assigned carrier.

7. Processing and Delivery Estimates

Unless otherwise stated, orders generally require:

  • 1–3 business days for processing; and

  • 4–5 business days for transportation after shipment.

Most orders are therefore expected to arrive within approximately 5–8 business days. These timeframes are estimates and are not guaranteed delivery dates.

Weekends, public holidays, severe weather, carrier interruptions, inventory allocation, address verification, fraud review, and other circumstances outside our reasonable control may affect delivery.

If we cannot ship within the time stated or otherwise required by applicable law, we will provide any notice, cancellation option, or refund required by law.

Products may be shipped directly from EcoFlow’s U.S. warehouse network or other authorized fulfillment facilities. An order containing multiple products may arrive in separate packages with different tracking numbers and delivery dates.

8. Shipping Addresses and Order Changes

You are responsible for providing a complete and accurate shipping address before submitting your order.

Please contact us immediately if an address or order detail needs to be changed. Once an order has been submitted to the warehouse or carrier, we cannot guarantee that it can be changed, redirected, intercepted, or canceled.

NOVANEST is not responsible for delays or failed delivery caused by:

  • An incorrect or incomplete address provided by the customer;

  • An unauthorized address change requested from the carrier;

  • Failure to provide requested delivery information;

  • Refusal of delivery; or

  • Failure to retrieve a package made available for pickup.

Any additional carrier charges resulting from an incorrect address, refused delivery, or customer-requested redirection may be deducted from a refund where permitted by law.

9. Delivery, Missing Packages, and Damage

Tracking information is provided when available. Carrier delivery dates and tracking updates are estimates and may change.

Please inspect your order promptly after delivery. If an item arrives damaged, incomplete, or materially different from the item ordered, contact us as soon as possible at [Customer Service Email] and provide:

  • Your order number;

  • A description of the issue;

  • Photographs of the product and packaging; and

  • Any other information reasonably necessary to investigate the claim.

Do not discard damaged packaging until the claim has been resolved.

If tracking shows that a package was delivered but you cannot locate it, please check the delivery area, household members, neighbors, building management, and the carrier before contacting us.

We will assist with eligible carrier claims but cannot guarantee the outcome of an investigation conducted by a third-party carrier.

Nothing in this section limits any rights you may have under applicable law.

10. Cancellations

You may request cancellation before the order enters fulfillment. However, cancellation is not guaranteed once the order has been submitted to the warehouse, assigned a tracking number, or prepared for shipment.

If an order can no longer be canceled, you may need to follow the return process after delivery.

We may cancel an order before shipment for any reason permitted under these Terms or applicable law. If a canceled order has already been charged, the applicable amount will be refunded to the original payment method.

11. Returns and Refunds

Returns, exchanges, damaged-product claims, refund eligibility, return shipping responsibilities, and applicable time limits are governed by our Return & Refund Policy, which forms part of these Terms.

Products must generally be returned in the condition required by that policy and must include the original packaging, accessories, manuals, and other included items.

Do not return a product without first obtaining return instructions or a return authorization when required. Products sent to an unauthorized address may not be accepted or processed.

Approved refunds are issued to the original payment method. Processing times may vary depending on the payment provider or financial institution.

Nothing in our Return & Refund Policy limits any non-waivable rights available under applicable law.

12. Manufacturer Warranty

Certain products sold through the Website may include a limited manufacturer warranty provided by EcoFlow or another manufacturer.

Manufacturer warranty coverage is subject to the manufacturer’s applicable warranty terms, product eligibility requirements, geographic limitations, proof-of-purchase requirements, exclusions, and claims procedures.

NOVANEST does not expand, modify, or replace a manufacturer’s warranty unless expressly stated in writing. Where applicable, we may assist customers with obtaining order information or directing a warranty request to the manufacturer.

Warranty information should be reviewed before purchase. Contact us if you require assistance locating the applicable manufacturer warranty.

Any rights provided by a manufacturer warranty are in addition to rights that cannot be excluded under applicable law.

13. U.S. Products, Export, and International Resale

Unless expressly stated otherwise, products sold through NOVANEST are U.S.-market versions intended for use and support within the United States.

NOVANEST does not provide international shipping, overseas installation assistance, international returns, or product support outside the United States.

If a customer, reseller, freight forwarder, or other third party exports a product after delivery within the United States:

  • The export is undertaken at that party’s own responsibility;

  • The customer is responsible for customs, duties, taxes, permits, certifications, voltage compatibility, transportation, and local compliance;

  • NOVANEST is not responsible for loss or damage occurring during international transportation;

  • Returns must still comply with our U.S. return procedures; and

  • Manufacturer warranty coverage may be unavailable or invalid outside the authorized U.S. service area.

NOVANEST does not guarantee that any product complies with the electrical, safety, import, environmental, or certification requirements of another country.

14. Product Use and Safety

You are responsible for reviewing and following all manufacturer instructions, safety warnings, operating limits, maintenance requirements, and applicable laws.

Portable power stations, batteries, solar equipment, and related products must be used only for their intended purposes. Improper installation, overloading, exposure to unsafe conditions, unauthorized modification, or use contrary to manufacturer instructions may cause property damage, injury, or loss of warranty coverage.

Do not rely on a product for medical, life-support, emergency, or safety-critical equipment unless the product manufacturer expressly confirms that it is suitable for that specific use.

NOVANEST is not responsible for damage caused by misuse, improper installation, unauthorized repair, incompatible equipment, or failure to follow manufacturer instructions, except where liability cannot legally be excluded.

15. Intellectual Property

Unless otherwise stated, the Website and its original content—including its layout, written content, graphics, branding, and design—are owned by or licensed to NOVANEST and are protected by applicable intellectual-property laws.

You may access and use the Website for lawful personal or internal business purposes. You may not, without prior written permission:

  • Copy or republish substantial Website content;

  • Sell, license, or commercially exploit Website content;

  • Remove copyright, trademark, or ownership notices;

  • Use automated systems to scrape or extract Website content;

  • Misrepresent an affiliation with NOVANEST; or

  • Use NOVANEST branding in a way that implies sponsorship or approval.

EcoFlow names, trademarks, product images, and other brand assets belong to EcoFlow or their respective owners and are used for product identification and authorized marketing purposes.

NOVANEST is an authorized online reseller of EcoFlow products in the United States. Nothing on the Website transfers ownership of any EcoFlow trademark or other third-party intellectual property.

16. Reviews and User Content

The Website may allow customers to submit reviews, photographs, comments, questions, or other content (“User Content”).

You represent that your User Content:

  • Is based on your genuine experience where represented as a product review;

  • Does not infringe another person’s intellectual-property or privacy rights;

  • Does not contain unlawful, defamatory, threatening, abusive, obscene, or deceptive material;

  • Does not contain malicious code, spam, or unauthorized advertising; and

  • Does not disclose another person’s confidential or personal information without permission.

You retain ownership of your User Content. By submitting it, you grant NOVANEST a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and use it in connection with operating and promoting the Website and our products, subject to applicable law.

We may remove User Content that violates these Terms or applicable law. We will not remove or suppress a genuine review solely because it expresses a negative opinion.

17. Prohibited Uses

You may not use the Website:

  • For unlawful, fraudulent, or deceptive activity;

  • To place an order using unauthorized payment information;

  • To impersonate another person or misrepresent your identity;

  • To interfere with Website security or operation;

  • To introduce viruses, malicious code, or harmful technology;

  • To collect information about other users without authorization;

  • To avoid order limits, security controls, or geographic restrictions;

  • To infringe intellectual-property or privacy rights; or

EXCEPT FOR ANY EXPRESS MANUFACTURER WARRANTY OR OTHER WARRANTY THAT CANNOT LEGALLY BE EXCLUDED, NOVANEST DISCLAIMS ALL WARRANTIES REGARDING THE WEBSITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

THIS DISCLAIMER DOES NOT EXCLUDE OR LIMIT ANY WARRANTY OR CONSUMER RIGHT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVANEST AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE WEBSITE, THESE TERMS, OR A PRODUCT PURCHASE.

WHERE LIABILITY MAY LAWFULLY BE LIMITED, NOVANEST’S TOTAL LIABILITY ARISING FROM A PRODUCT ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO NOVANEST FOR THE PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply to fraud, willful misconduct, death or personal injury caused by negligence where such liability cannot be excluded, or any other liability that applicable law does not allow us to limit.

Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold NOVANEST harmless from third-party claims, damages, or reasonable expenses arising from:

  • Your unlawful use of the Website;

  • Your violation of these Terms;

  • Your infringement of another person’s rights; or

  • Your unauthorized export, resale, modification, or misuse of a product.

This section does not require a consumer to indemnify NOVANEST for NOVANEST’s own negligence, misconduct, or violation of law.

23. Changes to These Terms

We may update these Terms to reflect changes to our business, Website, policies, or legal obligations.

Updated Terms will be posted on this page with a revised effective date. Changes apply prospectively unless applicable law requires otherwise.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms. Material changes will be communicated where required by law.

24. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with our Privacy Policy, Shipping Policy, Return & Refund Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between you and NOVANEST regarding your use of the Website and purchases made through it.

If a product page or written offer contains terms that specifically conflict with these Terms, the more specific terms will control for that product or offer.

26. Governing Law

These Terms are governed by the laws of Colorado, without regard to conflict-of-law principles.

Any mandatory consumer protections available under the laws of the customer’s state of residence remain unaffected.

Subject to applicable consumer-protection law, disputes relating to these Terms or the Website will be brought in the courts located in Colorado, and each party consents to the jurisdiction of those courts.
